There are legal responsibilities of members of nonprofit boards. With the importance of the board meeting scheduled early on June 25th (changing plans for downtown campus, intended purchase of Radio Shack site, and general displeasure of TCCD mission expressed by Joe Hudson when running for the board position) the real question is why he would leave such an important board meeting to go to work that morning? What would be more important at his workplace that particular morning, more important than being at a meeting which affects the community in which he resides, in a position for which he was elected to serve? Attending and actively participating in board meetings is part of a board member's responsibilities. Guilt by omission arises when a board member has been inactive in overseeing their charge of fiduciary responsibility. In summary, the real question is was it a lack of good judgement for this board member to leave an important meeting, shedding his duties, then whine publicly through the newspaper about a vote held during his absence? If this trustee, Joe Hudson, is not going to fulfill his responsibilities, then perhaps he needs to resign. He certainly needs to be looking at the big picture which is the positive impact Tarrant County College has in serving this community from babies through seniors, workforce development programs, continuing education and academic programs on four campuses, through internet distance learning and at numerous satellite sites.

Joe Hudson and another trustee left not knowing the meeting was only recessed.

The board president claims in a Star-Telegram quote that she announced that there would be more discussion after the recess. Further she claimed that the vice chancellor of admin and the schools attorney were present when she made the comments.

UNFORTUNATELY; ABSOLUTELY NONE OF THE TRUSTEES OR THE ATTORNEY OR THE VC OF ADMIN WILL CONFIRM THE ACCURACY OF THE PRESIDENT'S STATEMENT!

There is much more to this than the public is aware of.

No one realizes that the TCC's average investment in real estate for each of five campuses is about $75 million. The total combined value of TCU and UTA campus property is only $72 million.
