Today I am writing to share that we have entered into an agreement with Montreal-based printer Transcontinental whereby Quad/Graphics will acquire Transcontinental’s Mexican operations and we will sell Transcontinental our Canadian operations (with the exception of the Vancouver facility).
Also as part of the agreement we will receive a portion of Transcontinental’s Canadian book printing business that is produced for U.S. export.
This is a big decision for us as a company and one we gave considerable thought. I am confident that it is the right decision for our business because of the value it will create long term.
Under terms of the agreement we will sell Transcontinental our facilities in Aurora, Concord, Dartmouth, Edmonton, LaSalle, Montreal and Toronto (Que Net Media). Our Vancouver facility will remain part of Quad/Graphics and will be used to produce inserts for U.S. retailers.
In return, we will acquire Transcontinental’s three facilities in Azcapotzalco, Toluca and Xochimilco, Mexico. This will allow us to build on our existing presence in Mexico and position ourselves to be a leader in a country that has a growing middle class with a population three times the size of Canada.
For more details about today’s announcement, please read our press release. As I have communicated frequently, our global strategy is to grow profitably in geographies and segments where we can be a market leader through a diverse product offering, and a superior and efficient operating platform.
Canada is a highly competitive print market and to drive growth there would have required a substantial capital investment in our platform. We were prepared to make that investment; however, when Transcontinental approached us with a proposal to grow our presence in Mexico, we revisited our plans for Canada.
Ultimately, we decided it would be better for our business long term to divest in Canada and focus on the tremendous growth opportunities in Mexico.
For all of you in Canada, I realize today’s announcement brings uncertainty. Your journey over the past few years has not been easy. Nevertheless you’ve always shown yourselves to be dependable and hard working, and I thank you for performing well for our customers.
Transcontinental is a good printing company that has a long-standing reputation for taking care of its people. The next few months will be busy as we finalize this agreement, which includes obtaining all required regulatory approvals. The agreement allows for the Mexican and Canadian transactions to close independently of each other; however, both are expected to close this fall.
Until then, it is business as usual, so please continue to keep your competitive focus. Transcontinental and Quad/Graphics remain separate and independent companies, and our customers are depending on us to continue performing well.
